Terms of Service

Operator: AIClinica, Inc. ("AIClinica", "we", "us", "our") — a Delaware corporation operating the Service at https://aiclinica.com and all *.aiclinica.com subdomains.
Please read these Terms of Service carefully. By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if:
- You are at least 18 years old
- You have the legal capacity to enter into a binding contract
- You are not barred from using the Service under the laws of your jurisdiction
- You are a current or aspiring medical professional, student, or trainee
We may refuse service, terminate accounts, or cancel orders at our discretion.
2. Educational use only — NOT medical advice
Critical disclaimer: The Service is an educational practice tool. The scenarios, AI examiner responses, scoring, feedback, and any output of the Service:
- Are not medical advice, diagnosis, prognosis, treatment recommendations, or clinical decision support
- Must not be used to make decisions about the care of any real patient
- Are produced in part by artificial intelligence and may contain factual errors, outdated information, or hallucinations
If you are dealing with a real clinical question, consult a qualified human clinician, established medical references, or your institution's protocols. We expressly disclaim any responsibility for clinical outcomes derived from use of the Service.
You agree not to enter real patient identifying or health information ("PHI") into the Service. The Service is not designed for, and we do not contract for, the handling of PHI under HIPAA or equivalent laws.
3. Accounts
3.1 Account creation and security
- You must provide accurate, current, and complete information
- You are responsible for keeping your password confidential
- You are responsible for all activity under your account
- Notify us at security@aiclinica.com immediately of any unauthorized access
3.2 One person, one account
Accounts are personal and non-transferable. Sharing an account is grounds for immediate suspension.
3.3 Institutional accounts
If you access the Service through an institution (residency program, medical school, hospital), additional terms in the Institutional License Agreement apply. Where the two conflict, the Institutional License Agreement controls for institutional usage.
4. Subscriptions, billing, and payment
4.1 Plans
We offer monthly and annual subscriptions for individual learners (tiers: student / PGY 1-3 / PGY 4-5 / fellow), institutional seat licenses, and one-time gift codes. Current prices are listed at /pricing.
4.2 Automatic renewal
Subscriptions renew automatically at the end of each billing period until cancelled. By providing a payment method, you authorize us (via Stripe) to charge it on each renewal at the then-current rate.
4.3 Cancellation
You may cancel at any time from your account billing page. Cancellation takes effect at the end of the current billing period; you retain access until then. No partial-period refunds except as described in our Refund Policy.
4.4 Price changes
We may change prices with 30 days' notice by email. Continued use after the change constitutes acceptance.
4.5 Taxes
Prices exclude applicable taxes (sales, VAT, GST). Where required by law, taxes are added at checkout.

5. Acceptable use
You agree NOT to:
- Use the Service for any unlawful purpose
- Reverse-engineer, decompile, scrape, or attempt to extract our source code or proprietary content
- Access the Service through automated means (bots, scrapers) except via APIs we expressly publish
- Resell access without an institutional license
- Share credentials or circumvent paywalls / access controls
- Use the Service in any way that could interfere with, damage, or overload our infrastructure
- Submit malicious code, viruses, or malware
- Submit real patient information or any data protected by HIPAA, GDPR special categories, or similar regimes
- Use the Service to harass, threaten, or impersonate others
- Use the output of the Service to train competing AI systems
- Reverse-engineer or attempt to extract our prompts or scoring models
We may suspend or terminate any account engaged in prohibited activity without notice and pursue legal remedies.
6. User-generated content
When you record or type responses, submit feedback, or otherwise provide content to the Service ("User Content"):
- You retain ownership of your User Content
- You grant us a worldwide, royalty-free, non-exclusive, sublicensable license to use, host, store, reproduce, modify, and create derivative works of your User Content solely to:
- Operate, improve, and personalize the Service for you
- Generate aggregated, de-identified analytics
- Train and improve our scoring models (de-identified)
- You represent that you have all rights necessary to grant this license and that your User Content does not violate the rights of any third party
We do not publish or republish your User Content publicly.
7. Intellectual property
7.1 Our IP
The Service, including all scenarios, scoring rubrics, examiner voice profiles, software, design, trademarks, and all derivative works, is owned by AIClinica, Inc. and protected by copyright, trademark, and other laws. No license is granted to you except as expressly set out in these Terms.
The clinical scenarios are independently authored by physician contributors. Where scenarios incorporate published medical knowledge (guidelines, board specifications), such references are properly cited and used under fair use.
7.2 Feedback
If you send us suggestions or feedback, you grant us an irrevocable, perpetual, worldwide, royalty-free license to use that feedback without compensation or attribution.
7.3 Trademarks
"AIClinica" and the AIClinica logo are trademarks of AIClinica, Inc. You may not use them without prior written consent.
8. Privacy
Our Privacy Policy explains how we collect and use your personal information. By using the Service, you acknowledge our Privacy Policy.
9. Third-party services
The Service integrates with third-party services (Stripe for payments, Anthropic for AI examiner, Google for authentication, etc.). Your use of those services is governed by their terms. We are not responsible for third-party services' acts or omissions.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES
- WARRANTIES THAT ANY AI OUTPUT IS ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE
PASSING SIMULATED EXAM SCENARIOS DOES NOT GUARANTEE PERFORMANCE ON ANY REAL EXAMINATION. PASSING REAL EXAMINATIONS DEPENDS ON FACTORS BEYOND OUR CONTROL.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law:
- IN NO EVENT WILL AIClinica, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OPPORTUNITY, OR GOODWILL, EVEN IF FORESEEABLE OR IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
This limitation applies regardless of the legal theory (contract, tort, statute, or otherwise).
12. Indemnification
You agree to defend, indemnify, and hold harmless AIClinica, its directors, officers, employees, and affiliates from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of:
- Your use of the Service
- Your violation of these Terms or any applicable law
- Your violation of the rights of any third party
- Your User Content
- Any clinical decision you (or any third party) make based on the Service's output
We reserve the right to assume the exclusive defense of any matter for which you owe us indemnification, in which case you agree to cooperate.
13. Termination
13.1 Termination by you
You may terminate by cancelling your subscription and closing your account from settings.
13.2 Termination by us
We may terminate or suspend your account immediately and without notice if:
- You breach these Terms
- Your account is used for fraud, abuse, or unlawful activity
- You fail to pay applicable fees
- We are required to do so by law or court order
- We discontinue the Service
13.3 Effect of termination
Upon termination, your right to use the Service ends. Sections that by their nature should survive (IP, disclaimers, limitations of liability, indemnification, dispute resolution) will survive.
14. Governing law and dispute resolution
14.1 Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
14.2 Informal resolution
Before filing any claim, you agree to attempt to resolve disputes informally by contacting legal@aiclinica.com. We will respond within 30 days.
14.3 Binding arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, held in Wilmington, Delaware, in English. The arbitrator's decision is final. Each party bears its own costs; the prevailing party may recover reasonable fees.
14.4 Class action waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, the entire arbitration provision is null and the parties consent to jurisdiction in Delaware state or federal courts.
14.5 30-day opt-out
You may opt out of arbitration by emailing legal@aiclinica.com within 30 days of first agreeing to these Terms. Include your name, account email, and the words "ARBITRATION OPT-OUT".
14.6 Injunctive relief
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect IP or confidential information.
15. General provisions
15.1 Entire agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, Referral Policy, and (where applicable) the Institutional License Agreement, are the entire agreement between you and AIClinica.
15.2 Severability
If any provision is found invalid, the remaining provisions remain in full force.
15.3 No waiver
Failure to enforce any provision does not waive our right to enforce it later.
15.4 Assignment
You may not assign these Terms without our prior written consent. We may assign them freely.
15.5 Notices
We may send notices to you by email at the address associated with your account, by posting in the Service, or by any other reasonable means. You may send notices to legal@aiclinica.com.
15.6 Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control.
15.7 Changes to these Terms
We may modify these Terms by posting the revised version with an updated effective date. Material changes will be notified by email at least 30 days before they take effect. Continued use constitutes acceptance.
